Learning Objectives:
Students will acquire a thorough understanding of capital markets law. They will be able to evaluate key provisions of capital markets law based on empirical findings and with regard to their economic incentive effects. Students will be able to engage in discussions specific to individual areas as well as across multiple areas.
Course Content:
Agency costs and corporate law, market efficiency, disclosure requirements in capital markets, ad hoc disclosures, disclosure of shareholdings, the Corporate Governance Code, initial public offerings (IPOs) and prospectus requirements, prospectus liability, insider trading and market manipulation, corporate takeovers, delistings, and enforcement of laws in capital markets.
